Terms of Service

Effective date: May 25, 2026

1. Acceptance of Terms

These Terms govern your use of Cerzo operated by The Mead Group, an Engel & Völkers affiliate. By accessing or using the Platform, you agree to these Terms and our Privacy Policy.

2. Eligibility and Access

The Platform is a private tool for advisors affiliated with The Mead Group and authorized partner offices. Registration requires a valid registration code issued by your office. You must not share your registration code or login credentials. Access may be revoked at any time, with or without cause.

3. Your Account

You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, for notifying us promptly of any unauthorized use, and for keeping your account information accurate and current.

You may use the Platform only for lawful professional real estate purposes. You must not:

4b. Fair Housing Compliance

THE MEAD GROUP AI PLATFORM STRICTLY PROHIBITS ANY USE THAT VIOLATES THE FAIR HOUSING ACT OR APPLICABLE STATE AND LOCAL FAIR HOUSING LAWS.

You must not use AI-generated content that: describes or implies preferences or limitations based on race, color, national origin, religion, sex, familial status, disability, sexual orientation, or any other protected class; uses language that could be interpreted as discriminatory in listing descriptions, marketing materials, or client communications; steers buyers toward or away from neighborhoods based on protected characteristics. You are solely responsible for reviewing all AI-generated content for fair housing compliance before use. The Mead Group reserves the right to immediately terminate access for any violation of fair housing laws.

4c. MLS Compliance

You are responsible for ensuring all AI-generated listing copy, property descriptions, and marketing content complies with your MLS rules, IDX agreement, and National Association of Realtors Code of Ethics. AI-generated listing descriptions must be reviewed and edited to meet your MLS character limits, required disclosures, and prohibited content rules before submission. The Mead Group is not responsible for MLS violations arising from unreviewed AI-generated content.

4d. Social Media and FTC Compliance

When publishing AI-generated content on social media platforms including Instagram, TikTok, Facebook, and LinkedIn you are responsible for compliance with: each platform’s terms of service regarding AI-generated content, FTC guidelines on advertising disclosures, and the National Association of Realtors social media guidelines. Some platforms and jurisdictions may require disclosure that content was AI-assisted. You assume full responsibility for compliance with applicable disclosure requirements.

5. AI-Generated Content

AI output is provided as a professional aid only and does not constitute legal, financial, tax, or brokerage advice. You are responsible for reviewing and verifying all AI-generated content before use with clients. AI market analyses and valuations must be verified against live MLS and other authoritative sources. The Mead Group makes no warranty as to accuracy or completeness. You assume full professional responsibility for any content you use in client communications or transactions.

5b. Engel & Völkers Brand Compliance

All AI-generated marketing content that includes Engel & Völkers branding, logos, colors, or trademarks must be reviewed and approved before publication and must comply with the current Engel & Völkers brand standards guide. Cerzo generates content templates only ��� final branded materials must be reviewed by an authorized team member before distribution to clients or the public. Unauthorized or non-compliant use of Engel & Völkers brand assets may result in immediate termination of Platform access.

5c. AI Pricing and Valuation Disclaimer

AI-generated CMAs, pricing strategies, market analyses, and property valuations generated through this Platform are NOT licensed broker opinions of value and must never be presented to clients as such. All AI-generated pricing content must be reviewed, verified against current MLS data, and approved by a licensed broker before being shared with clients. Presenting unverified AI-generated pricing information as a professional valuation may violate Washington State real estate licensing law and your fiduciary duties.

6. Client Data and Confidentiality

You represent that you have authorization to enter client and property data you submit. You are solely responsible for compliance with client privacy expectations, Washington State and federal privacy laws, Engel & Völkers data handling policies, and your fiduciary and licensing duties.

7. Intellectual Property

The Platform and its underlying software are proprietary to The Mead Group. You receive a limited, non-exclusive, non-transferable license to use the Platform for your professional real estate activities. AI-generated content may be used for such professional purposes. You may not resell, sublicense, or commercialize the Platform. Use of Engel & Völkers brand assets must comply with applicable brand guidelines.

8. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE PLATFORM DOES NOT REPLACE PROFESSIONAL JUDGMENT, MLS ACCESS, BROKER SUPERVISION, OR LICENSING AND COMPLIANCE OBLIGATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE MEAD GROUP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR PLATFORM ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, IF ANY.

10. Indemnification

You agree to indemnify and hold harmless The Mead Group, Engel & Völkers, and their officers, employees, and agents from claims, damages, and expenses arising from your use of the Platform, your breach of these Terms, or your misuse of AI-generated content.

10b. Force Majeure

The Mead Group shall not be liable for any failure or delay in providing the Platform resulting from circumstances beyond our reasonable control including but not limited to: third-party API outages (Anthropic, OpenAI, Render), internet or telecommunications failures, natural disasters, acts of government, or other force majeure events. In such circumstances our obligations will be suspended for the duration of the event.

11. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason including violation of these Terms.

11b. Dispute Resolution

Before initiating any legal proceeding arising from these Terms or your use of the Platform, you agree to first attempt to resolve the dispute through good-faith negotiation by contacting Eric.Mead@evrealestate.com. If negotiation fails within 30 days either party may request non-binding mediation through a mutually agreed mediator in King County, Washington before pursuing litigation. This requirement does not apply to claims for injunctive relief or intellectual property disputes.

12. Changes to Terms

We may modify these Terms from time to time. Material changes will be notified by email. Continued use after notice constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Exclusive venue for disputes shall be the state or federal courts located in King County, Washington.
